ALSONA AMBASSADOR PROGRAM AGREEMENT

This Ambassador Program Agreement (“Agreement”) is entered into by and between Alsona LLC, a Delaware limited liability company (“Alsona,” “Company,” “we,” “us”), and the individual or entity applying to or participating in the Ambassador Program (“Ambassador,” “you”).

BY CHECKING THE ACCEPTANCE BOX OR OTHERWISE INDICATING YOUR AGREEMENT, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.

1. DEFINITIONS

“Program” means the Alsona Ambassador Program.
“Ambassador Content” means all posts, videos, articles, comments, testimonials, or other materials created by Ambassador referencing Alsona.
“Platforms” means LinkedIn, X, YouTube, TikTok, Reddit, Instagram, Facebook, or any third-party platform used for distribution.
“Performance Metrics” means impressions, engagement, or other measurable analytics verified by Alsona.

2. PROGRAM PARTICIPATION

2.1 Eligibility

Ambassador must:

  • Be at least 18 years old
  • Provide accurate identification and payment information
  • Maintain active accounts on applicable Platforms
  • Be approved by Alsona at its sole discretion

Alsona may accept or reject any applicant for any lawful reason.

2.2 Independent Contractor Status

Ambassador is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Ambassador has no authority to bind Alsona.

3. AMBASSADOR OBLIGATIONS

3.1 Content Standards

Ambassador agrees to:

  • Create authentic, experience-based content
  • Avoid false, misleading, or unsubstantiated claims
  • Clearly and accurately represent Alsona’s services
  • Follow Alsona brand guidelines (if provided)

3.2 Compliance with Laws & Platform Rules

Ambassador is solely responsible for complying with:

  • All applicable laws and regulations
  • FTC Endorsement Guidelines and disclosure laws
  • Platform terms of service, including LinkedIn’s policies

Ambassador must clearly disclose their material relationship with Alsona in all promotional content (e.g., “#ad,” “#sponsored,” or equivalent clear disclosure).

Failure to comply may result in immediate termination.

4. PLATFORM RISK DISCLAIMER

Ambassador acknowledges that Platforms maintain independent rules and enforcement policies.

Ambassador agrees that:

  • Participation in the Program is voluntary.
  • Promotion of Alsona is undertaken at Ambassador’s sole discretion and risk.
  • Alsona does not control Platform enforcement actions.

ALSONA SHALL NOT BE LIABLE FOR ANY PLATFORM PENALTIES, ACCOUNT RESTRICTIONS, SUSPENSIONS, SHADOWBANS, OR TERMINATIONS RESULTING FROM AMBASSADOR’S ACTIVITIES.

5. COMPENSATION

5.1 Performance-Based Payments

Compensation is based solely on verified Performance Metrics as determined by Alsona in its reasonable discretion.

Alsona reserves the right to:

  • Validate analytics
  • Reject fraudulent engagement
  • Withhold payment for artificial traffic or metric manipulation

5.2 No Earnings Guarantee

Earnings are not guaranteed. Ambassador acknowledges that compensation depends on organic performance and compliance.

5.3 Payment Terms

Payments are issued according to Program guidelines (e.g., weekly). Ambassador is responsible for all taxes and reporting obligations.

6. INTELLECTUAL PROPERTY

6.1 License to Alsona

Ambassador grants Alsona a perpetual, worldwide, royalty-free, transferable, sublicensable, irrevocable license to use, reproduce, modify, distribute, publicly display, and create derivative works of Ambassador Content for marketing and promotional purposes.

This license survives termination for content already created.

6.2 Ownership

Ambassador retains ownership of original content, subject to the license granted herein.

6.3 Brand Assets

Alsona retains all rights to its trademarks, logos, and proprietary materials. Ambassador may not modify brand assets without written consent.

7. REPRESENTATIONS & WARRANTIES

Ambassador represents and warrants that:

  1. Ambassador Content is original or properly licensed.
  2. Content does not infringe any third-party rights.
  3. Content complies with applicable laws and Platform policies.
  4. Ambassador will not make guarantees or claims about Alsona not expressly authorized.
  5. Ambassador will not present themselves as an employee or official spokesperson.

8. INDEMNIFICATION

Ambassador agrees to indemnify, defend, and hold harmless Alsona and its officers, directors, employees, and affiliates from any claims, damages, penalties, liabilities, losses, or expenses (including attorneys’ fees) arising from:

  • Ambassador Content
  • Breach of this Agreement
  • Failure to disclose sponsorship
  • Violation of Platform terms
  • Violation of law
  • Infringement of third-party rights

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY DELAWARE LAW:

ALSONA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR BUSINESS OPPORTUNITIES.

ALSONA’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO AMBASSADOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. TERMINATION

Alsona may suspend or terminate participation immediately if:

  • Ambassador breaches this Agreement
  • Content harms Alsona’s reputation
  • Ambassador engages in illegal, abusive, or fraudulent conduct
  • Ambassador violates Platform rules

Upon termination:

  • Unpaid but valid earnings may be paid at Alsona’s discretion
  • Sections 6, 8, 9, 11, and 12 survive

11. CONFIDENTIALITY

Ambassador shall not disclose any non-public information about Alsona, including business strategy, roadmap, pricing structure, or internal processes.

12. DISPUTE RESOLUTION

12.1 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Venue

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

13. MODIFICATIONS

Alsona may update this Agreement from time to time. Updated terms will be posted on the website with a revised “Last Updated” date. Continued participation in the Program after updates constitutes acceptance of the revised Agreement.

14. GENERAL PROVISIONS

  • Entire Agreement: This constitutes the full agreement between parties.
  • Severability: If any provision is invalid, the remainder remains enforceable.
  • Assignment: Ambassador may not assign this Agreement without written consent.
  • Waiver: Failure to enforce any provision is not a waiver.

ACCEPTANCE

Ambassador agrees that:

  • Clicking “I Agree” or checking the acceptance box constitutes a legally binding electronic signature.
  • This Agreement is governed by the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable Delaware law.
  • Ambassador consents to receive communications electronically.
